These Terms govern your use of bdigitalmatrix.io, our diagnostic and assessment tools, our client portals, and our telephone and text messaging services. By using them you agree to these Terms.
SMS messaging program terms
Program: b/digital MATRIX post-call summaries and operational notifications. Message frequency varies. Message and data rates may apply. Reply STOP to cancel, HELP for help.

Eligibility and consent
You must be at least 18 years old and the owner or authorized user of the mobile number you give us. Consent to receive text messages is not a condition of purchasing anything from us. You may withdraw consent at any time by replying STOP.
Delivery
Message delivery depends on your carrier and is not guaranteed. We are not liable for messages that are delayed, undelivered, or delivered to the wrong recipient because an incorrect number was provided. If you change or give up your mobile number, please tell us so we do not message someone else.
Changes to the program
We may modify or discontinue the messaging program at any time. Material changes will be posted on this page before they take effect.
Use of the website and tools
Our assessments, scorecards, and diagnostic tools are provided for general business information. They produce indicative analysis based on the inputs you supply, and they are not a substitute for professional advice tailored to your situation. Do not rely on them as the sole basis for a business, financial, legal, tax, or technical decision.
You agree not to misuse the site: no attempting to gain unauthorized access, probing or scanning our systems, interfering with operation, submitting another person's information without authority, scraping at a volume that degrades service, or using our tools to build a competing product.
Advisory services
Consulting and advisory engagements are governed by a separate written agreement between you and us. Where those terms conflict with these Terms, the signed engagement agreement controls for that engagement.
Intellectual property
The site, our methodologies, assessment frameworks, written materials, and software are our property or that of our licensors, and are protected by intellectual property law. You may use outputs generated for you internally within your organization. You may not redistribute, resell, or publish our frameworks or materials without written permission.
Third-party services
We rely on third-party providers for hosting, communications, analytics, and productivity. Their services are governed by their own terms, and we are not responsible for their acts or omissions. Links to third-party sites are provided for convenience and are not endorsements.
Disclaimer of warranties
The site and tools are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, timely, secure, or error-free, or that results obtained from it will be accurate or reliable.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of your use of the site or tools. Our total aggregate liability for any claim relating to the site or the messaging program will not exceed one hundred United States dollars (US$100). Nothing in these Terms limits liability that cannot be limited under applicable law. Liability arising under a signed advisory engagement is governed by that agreement.
Indemnification
You agree to indemnify and hold us harmless from claims, losses, and expenses arising out of your misuse of the site or tools, your violation of these Terms, or your submission of another person's information without authority.
Governing law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. The state and federal courts located in Nevada will have exclusive jurisdiction over any dispute, and you consent to venue there.
Changes to these Terms
We may update these Terms. When we do, we will revise the "Last updated" date above. Continued use after a change means you accept the updated Terms.
